Terms of Service

1. Acceptance of Terms

By registering for or using the MotoDXR platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the platform.

If you are accepting these Terms on behalf of a dealership or other business entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. Service Description

MotoDXR provides a business-to-business SaaS platform for used vehicle dealerships in India. The platform includes:

• A branded public catalog website at yourname.motodxr.com
• The option to connect a custom domain that you own (see Section 7)
• Mobile applications for Android and iOS for inventory management
• Tools for team management and customer enquiry tracking
• Subscription management and billing, provided through our website

MotoDXR is a listing and presentation tool. We are not a party to any transaction between you and a buyer. We do not broker, inspect, value, finance, insure, or guarantee any vehicle listed on the platform.

3. Eligibility

To use MotoDXR, you must:

• Be at least 18 years of age
• Be operating a legitimate vehicle dealership or related business in India
• Have a valid Indian mobile number
• Provide accurate and truthful business information during registration

MotoDXR is sold to businesses for business use. It is not offered for personal, household, or consumer use.

4. Account Registration

• One account per mobile number.
• You are responsible for maintaining the security of your account and of the mobile number and device used to receive one-time passwords.
• You are responsible for all activity that occurs under your account, including activity by team members you invite.
• Your dealer slug (for example yourname.motodxr.com) is set during registration and cannot be changed afterwards, as it forms the permanent address of your catalog. You may additionally connect a custom domain at any time under Section 7.
• You must provide accurate business information. MotoDXR may suspend accounts found to contain false or misleading information.

Team Members

You may invite managers and staff to your account with role-based access. You are responsible for the conduct of everyone you invite, for ensuring their access is appropriate to their role, and for removing access when a person leaves your business.

5. Subscription, Payment, and Refunds

Free Trial

All new dealers receive a 30-day free trial with full platform access. No payment is required during the trial period. One trial per dealership.

Paid Subscription

After the trial ends, continued access requires an active subscription at ₹799 per month, billed monthly through Razorpay. Accepted payment methods include UPI, debit and credit cards, and netbanking. All subscriptions are purchased and managed on our website at motodxr.com.

The subscription fee is inclusive of Goods and Services Tax. The GST component is shown separately on your invoice for your records. A GST invoice is issued for each payment to the business details you provide. If you supply your own GSTIN during registration, it will appear on your invoice so that you may claim input tax credit where you are eligible to do so.

Non-Payment

If payment is not received after the trial ends or on a renewal date, your catalog will go offline and publishing will be disabled. Your data is preserved and your catalog is restored immediately upon payment. No data is deleted due to non-payment alone.

Refunds

Subscription fees are billed in advance for each monthly period. If you cancel, your subscription remains active until the end of the period you have already paid for, and that period is not refunded on a pro-rata basis.

If you believe you have been charged in error, or if a technical fault on our side prevented you from using the platform for a material part of a billing period, contact us at contact@motodxr.com within 30 days of the charge. We will review the request and, where a refund is warranted, process it to the original payment method within 7 working days.

Price Changes

MotoDXR may change subscription pricing with at least 30 days' advance notice by SMS, email, or in-app notification. Price changes take effect from your next renewal date. If you do not accept a price change, you may cancel before it takes effect.

6. Acceptable Use

You agree not to use the platform to:

• List vehicles you do not own or are not authorised to sell
• Create duplicate listings for the same physical vehicle, identified by registration number
• List vehicles that are stolen, blacklisted, subject to an unsatisfied loan or hypothecation you have not disclosed, or otherwise encumbered
• Upload fraudulent, misleading, or fabricated vehicle information or images
• Upload images you do not have the right to use, including manufacturer press photography or images taken from other dealers' listings
• Upload content that is obscene, defamatory, harassing, or unlawful
• Misrepresent a vehicle's condition, ownership history, accident history, or odometer reading
• Attempt to gain unauthorised access to the platform, other dealers' accounts, or our infrastructure
• Scrape, crawl, or bulk-extract data from the platform or from other dealers' catalogs
• Engage in any activity that violates applicable Indian law

You acknowledge that the platform limits each dealer to 50 active listings at any given time.

7. Custom Domains

You may connect a domain that you own to your MotoDXR catalog, in addition to your yourname.motodxr.com address.

Your Responsibilities

• You must own, or be authorised to control, any domain you connect. You must not connect a domain that infringes a third party's trademark or that impersonates a vehicle manufacturer, another dealership, or any other business.
• You are responsible for registering and renewing the domain with your registrar, and for keeping that registration valid. MotoDXR does not sell, register, or renew domains on your behalf.
• You are responsible for configuring the DNS records we specify at your registrar, and for keeping those records in place.

Our Responsibilities and Limits

• We will provision and renew an SSL certificate for a correctly configured connected domain.
• Your original yourname.motodxr.com address continues to work alongside any connected custom domain.
• MotoDXR is not liable for any loss, downtime, or unavailability of your catalog caused by incorrect DNS configuration, expiry or transfer of your domain, registrar failure, or actions taken by your registrar or DNS provider.
• We may refuse, or disconnect, any domain that in our reasonable judgement infringes a third party's rights, is unlawful, is used to impersonate another business, or is used to distribute content prohibited under Section 6. Where practical we will give you notice and an opportunity to respond first.

On Cancellation

If your subscription lapses or your account is cancelled, your connected domain will stop resolving to your catalog. The domain itself remains yours, registered in your name with your registrar, and is unaffected.

8. Content, Listings, and Reporting

Ownership and Licence

• You retain all intellectual property rights in the content you upload, including descriptions, photographs, and business information.
• By uploading content, you grant MotoDXR a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, adapt for display purposes, and publish that content on your catalog, on any custom domain you connect, and in future marketplace or discovery features we may offer. This licence exists solely to allow us to operate the platform and ends when the content is deleted, save for backups retained for the period described in Section 12.
• You are solely responsible for the accuracy of vehicle information, pricing, and images.
• MotoDXR does not independently verify the accuracy of dealer-submitted vehicle data.

Your Warranty

You warrant that you hold all rights necessary to grant the licence above, and that your content does not infringe any third party's intellectual property, privacy, or other rights.

Reporting Objectionable or Infringing Content

Every public catalog page carries a contact link for reporting content. Any person may report a listing that they believe is fraudulent, unlawful, infringing, or otherwise objectionable by writing to contact@motodxr.com with the catalog address and the listing concerned.

We will acknowledge reports within 24 hours and aim to resolve them within 15 days. Where a report is upheld we may remove or disable the listing, and in cases of repeated or serious violation may suspend the dealer account. We will notify the dealer of any content removed and the reason for removal.

9. Intellectual Property

The MotoDXR platform, brand, name, logo, interface design, and underlying code are proprietary to MotoDXR. You may not copy, reproduce, reverse-engineer, or create derivative works from the platform or any part of it.

Vehicle manufacturer names and model names appearing on the platform are the trademarks of their respective owners and are used only to describe vehicles offered for sale.

10. Mobile Applications and App Store Terms

The MotoDXR mobile applications are provided free of charge and function as companions to your MotoDXR subscription. The applications contain no in-app purchase; subscriptions are purchased and managed exclusively on our website.

Apple App Store

The following applies where you obtain the MotoDXR application from the Apple App Store:

• These Terms are between you and MotoDXR only, not with Apple Inc. (“Apple”). MotoDXR, not Apple, is solely responsible for the application and its content.
• Your use of the application must comply with the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide any maintenance or support for the application.
• In the event the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the application.
• Apple is not responsible for addressing any claim by you or a third party relating to the application, including product liability claims, claims that the application fails to conform to any legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• Apple is not responsible for the investigation, defence, settlement, or discharge of any third-party claim that the application infringes intellectual property rights.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you as a third-party beneficiary.

Google Play

Where you obtain the application from Google Play, your use is additionally subject to the Google Play Terms of Service.

11. Service Availability

MotoDXR makes reasonable efforts to maintain platform availability. However, we do not guarantee any specific level of uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from service interruptions, including interruptions caused by third-party infrastructure providers, payment processors, or DNS and hosting services.

12. Cancellation, Deletion, and Termination

These are three distinct actions with different consequences. Please read this section carefully.

Cancellation by You

You may cancel your subscription at any time from your account on our website, or by contacting contact@motodxr.com. On cancellation, your catalog goes offline at the end of your current paid period and you are not billed again. Your account and data are retained for 2 years, and you may reactivate at any time within that period by starting a new subscription, at which point your catalog and listings are restored. After 2 years of inactivity, retained data is deleted.

Deletion by You

Deletion is permanent and is not the same as cancellation.

You may permanently delete your account at any time from within the mobile application, or by contacting contact@motodxr.com. On deletion:

• Your account, listings, uploaded images, team records, and catalog are permanently removed
• Your catalog address and any connected custom domain stop resolving
• Your data is not retained for reactivation and cannot be recovered
• Deletion takes effect immediately, with removal from routine backups completing within 30 days

We retain only what we are required to retain by law, such as invoice and transaction records kept for tax and accounting purposes, and any records required in connection with a legal claim or regulatory obligation. Retained records of this kind are not used for any other purpose.

Deleting your account does not entitle you to a refund of fees already paid for the current period.

Termination by Us

MotoDXR may suspend or terminate your account for violation of these Terms, with or without prior notice depending on the severity of the violation. Where the violation is capable of being remedied, we will normally give you notice and a reasonable opportunity to remedy it first.

On termination for cause, data is retained for 2 years as described above unless we are required to remove it sooner.

13. Data Protection

We process personal data in accordance with our Privacy Policy and with the Digital Personal Data Protection Act, 2023.

You act as the data fiduciary in respect of any personal data of buyers or enquirers that you collect through your catalog, and MotoDXR acts as a data processor on your behalf in respect of that data. You are responsible for handling that data lawfully, including in relation to any enquiries you receive.

You may exercise your rights of access, correction, and erasure in respect of your own personal data by contacting contact@motodxr.com or by using the in-app controls described in Section 12.

14. Limitation of Liability

To the maximum extent permitted by Indian law, MotoDXR is not liable for indirect, incidental, special, or consequential damages arising from your use of the platform, including lost sales, lost profits, lost enquiries, or loss of goodwill.

Our total aggregate liability to you in any calendar month shall not exceed the subscription fees paid by you in the preceding three months.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Indemnity

You agree to indemnify and hold MotoDXR harmless against any claim, demand, loss, or expense arising from content you upload, from vehicles you list or sell, from any custom domain you connect, or from your breach of these Terms or of applicable law.

16. Modifications to Terms

MotoDXR may update these Terms from time to time. We will notify you by SMS, email, or in-app notification at least 14 days before changes take effect. Continued use of the platform after the effective date constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you may cancel your account before they take effect.

17. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts at Ernakulam, Kochi, Kerala, India.

18. Grievance Officer

In accordance with the Information Technology Act, 2000 and rules made thereunder, and the Digital Personal Data Protection Act, 2023, the Grievance Officer for the MotoDXR platform is:

Complaints will be acknowledged within 24 hours of receipt and resolved within 15 days.

19. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MotoDXR regarding the platform.
