1. Acceptance of Terms

By registering for or using the MotoDXR platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the platform.

2. Service Description

MotoDXR provides a B2B SaaS platform for used vehicle dealerships in India. The platform includes:

• A branded public catalog website at yourname.motodxr.com
• A mobile application (Android and iOS) for inventory management
• Tools for team management, customer enquiry tracking, and subscription billing

3. Eligibility

To use MotoDXR, you must:

• Be at least 18 years of age
• Be operating a legitimate vehicle dealership or related business in India
• Have a valid Indian mobile number
• Provide accurate and truthful business information during registration

4. Account Registration

• One account per mobile number
• You are responsible for maintaining the security of your account
• Your dealer slug (e.g. yourname.motodxr.com) is permanent once set and cannot be changed
• You must provide accurate business information. MotoDXR may suspend accounts found to contain false or misleading information.

5. Subscription and Payment

Free Trial

All new dealers receive a 30-day free trial with full platform access. No payment is required during the trial period.

Paid Subscription

After the trial ends, continued access requires an active subscription at ₹799/month, billed monthly via Razorpay. Accepted payment methods include UPI, debit/credit cards, and netbanking.

Non-Payment

If payment is not received after the trial ends or on the renewal date, your catalog will go offline. Your data is preserved and your catalog is restored immediately upon payment. No data is deleted due to non-payment.

Price Changes

MotoDXR reserves the right to change subscription pricing with at least 30 days' advance notice via SMS.

6. Acceptable Use

You agree not to use the platform to:

• List vehicles you do not own or are not authorised to sell
• Create duplicate listings for the same physical vehicle (identified by registration number)
• List vehicles that are blacklisted, stolen, or otherwise encumbered
• Upload fraudulent, misleading, or fabricated vehicle information or images
• Engage in any activity that violates applicable Indian law

You acknowledge that the platform limits each dealer to 50 active listings at any given time.

7. Content and Listings

• You retain all intellectual property rights in the content you upload (descriptions, photos, and business information)
• By uploading content, you grant MotoDXR a non-exclusive licence to display that content on your catalog and, in future, on marketplace features
• You are solely responsible for the accuracy of vehicle information, pricing, and images
• MotoDXR does not independently verify the accuracy of dealer-submitted vehicle data

8. Intellectual Property

The MotoDXR platform, brand, interface design, and underlying code are proprietary to MotoDXR. You may not copy, reproduce, or create derivative works from the platform or any part of it.

9. Service Availability

MotoDXR makes reasonable efforts to maintain platform availability. However, we do not guarantee any specific level of uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by Indian law, MotoDXR is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability to you in any calendar month shall not exceed the subscription fees paid by you in the preceding three months.

11. Termination

By You

You may cancel your account at any time by contacting [email protected]. Your catalog will go offline and you will not be billed for the next period.

By Us

MotoDXR may suspend or terminate your account for violation of these Terms, with or without prior notice depending on the severity of the violation.

After Termination

Your data is preserved for 2 years per our retention policy. You may reactivate your account at any time by starting a new subscription — your catalog and data are restored immediately.

12. Modifications to Terms

MotoDXR may update these Terms from time to time. We will notify you via SMS or in-app notification at least 14 days before changes take effect. Continued use of the platform after the effective date constitutes your acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts at Ernakulam, Kochi, Kerala, India.
